1. Acceptance of Terms

By accessing or using Chat Wave Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. Your compliance with these Terms is material to our agreement and is a condition of your access to and use of the Service.

2. Description of Service

Chat Wave Pro is a private community platform that provides:

• Self-hosted community management tools
• AI-powered moderation and automation
• Real-time communication features
• Audio streaming capabilities
• Automated helpdesk systems
• Monetization and support features

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

1. Provide accurate, current, and complete information during registration
2. Maintain and promptly update your account information
3. Maintain the security of your account
4. Accept responsibility for all activities under your account
5. Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content

5. Payment Terms

For paid services:

1. Fees are charged monthly or as otherwise specified
2. All fees are non-refundable except as required by law
3. We use Stripe for payment processing and you agree to Stripe's terms
4. You authorize us to charge your payment method for all fees
5. We may change fees with 30 days' notice
6. Failure to pay may result in service suspension or termination

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Chat Wave Pro and its licensors. The Service is protected by copyright, trademark, and other laws. You may not:

• Copy, modify, distribute, sell, or lease any part of our Service
• Reverse engineer or attempt to extract the source code of our Service
• Use our trademarks without permission

7. User Content

You retain ownership of content you create or upload to the Service. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content in connection with the Service. You represent that you have all necessary rights to grant this license and that your content does not violate these Terms or any applicable laws.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time by contacting us.

10. Disclaimers and Limitation of Liability

10.1 No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Chat Wave Pro EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

IN NO EVENT SHALL Chat Wave Pro, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

10.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

11. Indemnification

You agree to defend, indemnify, and hold harmless Chat Wave Pro and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

12. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Pennsylvania, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Pennsylvania.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

15. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
